Mr. Prateek Kohli
Prateek Kohli, a fellow member of the Institute of Company Secretaries of India, has an
extensive background and expertise in corporate governance and compliance. Born and raised in Kolkata, he
completed his Higher Secondary Education from the Assembly of God Church School and graduated from South City
College, Calcutta University. He further advanced his academic qualifications with a Master of Commerce and a
Bachelor of Laws. The turning point in his career came when he became a Qualified Member of the Institute of
Company Secretaries of India. Since 2021, he has been an active member of the Training & Educational
Facilities Committee (TEFC) of EIRC-ICSI.
Mr. Kohli is a sought-after speaker at various seminars for students and professionals, sharing his insights
and expertise in corporate law and compliance. He has conducted multiple sessions for the Executive
Development Program (EDP) organized by ICSI-EIRC. His professional portfolio includes handling significant
foreign fundings in Indian companies through the FDI route, successfully completing capital restructurings,
and managing various listing and NBFC-related compliances. He has acted as a scrutinizer for e-voting
processes of listed companies, ensured adherence to listing agreements, and led teams managing labor law
compliances for clients.
Additionally, Mr. Kohli has extensive experience in Initial Public Offerings (IPO) on both the Main Board and
SME platforms, Secretarial Audit, and FEMA compliances. He has been instrumental in facilitating FEMA
transactions, including FDI investments into India for renowned brownfield projects and the establishment of
Greenfield Investments.

Shristi Garg, holding qualifications of M.Com, LL.B, and FCS, is an accomplished
professional with comprehensive experience in corporate and legal services, specializing in mergers,
demergers, compliance, and corporate restructuring. She has successfully executed high-profile assignments,
including mergers and demergers for prominent groups Her expertise encompasses drafting and filing insolvency
petitions under the Insolvency and Bankruptcy Code, managing e-filings on the ROC portal, and ensuring
compliance with listing requirements on BSE and NSE.
Ms. Shristi has handled public-to-private company conversions, private company-to-LLP transformations, and
incorporations under the Companies Act, 2013, including producer companies under government schemes. With a
deep understanding of corporate governance, she has conducted buy-backs, bonus issues, and managed annual
filings, including XBRL filings for listed companies. Additionally, she has acted as a scrutinizer for
e-voting processes of listed entities, overseen the revival of defunct companies, and managed the shifting of
registered offices across states.
